General provisions These are the terms and conditions on which we provide our Services to you. Kindly read this Agreement cautiously before you begin to use our Services. This Agreement lets you know information about us, the manner by which we will provide our Services, how this Agreement might be changed or terminated, what to do assuming that there is an issue and other significant data. If you think that there is a mistake in this Agreement or require any changes, please contact us to discuss. Other additional documents which apply to you. This Agreement refers to the following additional documents, which also apply to your use of our Services: (a) Our Privacy Policy, which sets out the terms on which we process any personal data we collect about you, or that you provide to us. By using our Services, you consent to such processing and you promise that all data provided by you is accurate. (b) Our Cookie Policy, which sets out information about the “cookies” on our Website. By visiting our Website and/or using our Services you confirm that you accept and agree to this Agreement. If you do not agree, please do not use our Services. Key definitions and interpretations “Authentication” is the verification of the authenticity of the identifier presented by the user. “Balance” means any amounts held in your Account. “Business Day” shall mean any day on which Mono provides the Services to the Customers. “Confidential Information” shall mean, except as otherwise provided in this Agreement, all information (however recorded or preserved) disclosed by or exchanged between the Parties in connection with the Services. “Services” means all products, services, content, features, technologies or functions offered by us and all related websites and services (including the Website). “Account” means the account the Client has opened on Mono in accordance with the terms of this Agreement. Website means any webpage, including but not limited to www.mono.cx, where we provide the Services to you. “Client, customer, you” shall mean the Account holder, who may be a natural person or legal entity using the Services. “Client Money” shall mean the funds transferred to the Account, kept in it and intended for performance of the Payment Transactions through the System. “Suspension of the Account” means temporary restriction of the Client's access to his Account. “System” shall mean a software solution enabling the Customer to provide orders to Mono by electronic computerized communication means with the purpose of managing the funds in the Account and exchanging information with Mono. “Status” - a set of opportunities and restrictions that are assigned to the Client after identification of his personality at the discretion of Mono. Depending on the Status, tariffs and limits for the use of Mono services are determined. “Termination of the Account” means unavoidable deletion of the Account, as well as all information related to the Account, as well as the liquidation of accounts in the Mono System, if any, with the subsequent transfer of funds to another bank account of the Client. “Owner, Mono, We - mean the Mono software solution and platform for providing the services described in this Agreement. “Party” is used in the meaning of a party to this Agreement, which is a person who accepts the terms of this Agreement and uses the services of Mono. "Verification" means a verification of the validity, correctness and accuracy of the information and/or documents provided by the Client. Subject of the Agreement This Agreement decides terms, conditions, and request of delivering the accompanying administrations to the Client by the Mono: Opening an Account; Getting Incoming Orders; Executing Outgoing Orders; Executing different activities involving the System in the extension gave therefore. Services which require additional help from our Support Team are provided during the working hours on business days due to the schedule indicated on our Website. Persons authorized to use the System If you are an individual, you must be 18 years or older to use our Services and by opening a Mono Account you declare that you are 18 years or older. We may ask you at any time to show proof of your age. If you are not a individual, you confirm that you have authority to bind any business or entity on whose behalf you use our Services, and that business or entity accepts these terms. You commit to us that your opening and/or using of a Mono Account does not violate any laws applicable to you. You take responsibility for any consequences of your breach of this section. Due diligence We have a right to carry out all necessary security and customer due diligence checks on you (including any parties involved in your transaction for example, your recipient) in order to provide any Services to you. You agree to comply with any request from us for further information and provide such information in a format acceptable to us. In addition, you agree that we may make, directly or through any third party, any inquiries we consider necessary to validate the information you provided to us, including checking commercial databases. Account Opening and Order of its Use The Client, at his own discretion, chooses the main account currency from those available in the Mono System, namely USD, EUR and UAH. After completing the procedure for registering an Account in the Mono System, the Client is given the opportunity to open a main account, as well as an additional account (wallet), which is an integral part of the main account. By registering in the Mono System, the Client undertakes to provide accurate and truthful information to identify his personality. Based on the results of the client identification completion, he is assigned a certain Status in the System. Access to the Account and any subsequent actions of the Client are possible only after the verification of the Client. After registering the Account, the Client creates identifiers (login and password) for subsequent Authentication and login. The Client has the right to change the password at any time and an unlimited number of times. In case of loss or compromise of identifiers, at the request of the Client, he is given the opportunity to restore access in the following ways: By entering the recovery code sent to the Client in the form of an SMS message to a mobile phone number or in the form of a letter sent to the e-mail address specified by the Client when registering the Account; By contacting the support service; When contacting the support service, Mono has the right to refuse the Client to restore access to the Account if the Client provided data for restoring access that differs from the data received when identifying the Client. After registering the Account, passing due diligence and verification, the Client gets access to the Mono services in accordance with his Status. In order to use some of the Mono Services, the Client will need to go through an authorization procedure by entering a four-character code. To receive the code, the Client chooses the most optimal option for him, including, but not limited to, sending the code by SMS to a mobile phone number or in the form of a letter sent to the e-mail address specified by the Client when registering the Account, by contacting the support service or otherwise agreed on an individual basis Account suspension and termination The System Owner has the right to Suspend or Terminate the Client's account at the initiative of the Client, or by force. At the initiative of the Client, Suspension or Termination of the Client's account is carried out at any time on the basis of a notification received from the Client sent to the System Owner by one of the communication methods specified in clause 8 of this Agreement. At the initiative of the Owner of the System, Suspension or Termination of an account can be carried out in case of detection of suspicious and / or atypical activity for the Client within its Account, in case of suspicion that the account is used to carry out illegal activities by the Client, as well as suspicions of violation by the Client of the procedure for using the Account specified in clause 9 of this Agreement. Suspension or Termination of an Account means the termination of all orders for this account. In case of Suspension or Termination of the account at the initiative of the System Owner, the Client has the right to contact the support service for additional proceedings. The Owner of the System reserves the right to refuse to explain the reason for the Account Suspension or Termination. When contacting the support service, the System Owner has the right to refuse the Client to restore access to the System or Account if the Client provided data for restoring access that is different from the data obtained by the System Owner during the Client Identification. When Suspending or Terminating the Client's account, the System Owner undertakes to transfer the balance of funds from the Client's account to another Client’s bank account details of which are provided by the Client. Communication and support service The Client has the opportunity to contact the support service in several ways: Using the online chat available directly when the Client logs into his Account; By sending an email to the Mono support email address, namely: [email protected]; Through communication using Messengers, namely Telegram, Viber and WhatsApp. The support service reserves the right to contact the Client, if necessary, in the way that was chosen by the Client during registration or directly in the way that was used by the Client during the last contact with the support service. Our fee Fees for using the Mono System are calculated for each Client individually. Fees are agreed with the Client during the registration process through the communication method chosen by him. By starting to use the Mono System, the Client automatically agrees to the fees. Restricted activities The Client are restricted to: commit violations of this Agreement, applicable laws and regulations including, but not limited to the legal acts related to prevention of money laundering and terrorist financing; infringe the rights of Mono and third parties to the trademarks, copyrights, trade secrets and other intellectual property rights; provide false, misleading or incorrect information and otherwise circumvent the procedures of Mono; refrain from providing the information reasonably requested by Mono in connection with the Services; provide false, misleading or incorrect information about Mono and cooperation with Mono to third parties; transfer and/or receive money earned as a result of activities or transactions contradicting applicable laws; use the Account and other Services in such way that may result in losses, liability or other adverse legal consequences to Mono or other third parties; be involved in illegal gambling, illegal trafficking of tobacco products, alcohol, prescription medicines, steroids, guns, narcotic substances and the attributes related to narcotic substances, pornographic production, unlicensed lottery, illegal software or any other activities prohibited by applicable laws; log in to the System as an anonymous user (e.g. via public proxy servers); disclose Passwords, Identity Authentication Measures and other personalised safety features to third persons and allow unauthorised persons to use the Services in the name of the Customer or User; be a Politically Exposed Person or act on behalf of a Politically Exposed Person; perform actions that have the goal or result - a violation of the normal functioning of the equipment and software of the Site and other technical means belonging to the System Owner; use of any means of automated access to the System, unless otherwise agreed with the System Owner. Intellectual property rights While you are using our Services, you may use the Mono Materials only for your personal use and solely as necessary in relation to those Services. "Mono Materials" include any software (including without limitation the developer tools, sample source code, and code libraries), data, materials, content and printed and electronic documentation developed and provided by us or our affiliates to you, or available for download from our Website. You may not, and may not attempt to, directly or indirectly: transfer, sublicense, loan, sell, assign, lease, rent, distribute or grant rights in the Service or the Mono Materials to any person or entity; remove, obscure, or alter any notice of any of our trade marks, or other "intellectual property" appearing on or contained within the Services or on any Mono Materials; modify, copy, tamper with or otherwise create derivative works of any software included in the Mono Materials. Liability of the parties Mono will not be responsible for harms or loss of benefit by the Clients made by unserviceability of the System due any reasons. Mono will not be responsible: For breakdown of post services, the Internet, correspondence organizations, power supply switch-offs/harms, different disappointments, which emerge because of reasons past the control of Mono; For misfortunes of the Client coming about because of Account Blocking or Closing; For misfortunes coming about because of inappropriate contribution of request subtleties by the Client; For misfortunes coming about because of accommodation of invalid distinguishing proof information by the Client; The Parties are let out of property responsibility for inability to satisfy or unjustifiable satisfaction of commitments hereunder assuming it has been brought about forcibly majeure conditions, for example outrageous and inescapable conditions, including Acts of God, military tasks, or demonstrations of specialists. On the off chance that any power majeure conditions emerge, the Party will illuminate the other Party inside 3 (three) work days about the inconceivability to play out its commitments. The Client is fully responsible for keeping his/her Authentication Data and Authorization Means confidential. Any actions in the System performed using the correct Data for Authentication and Authorization Means are recognized as committed by the Client. The Client guarantees to the System Owner the absence of harm and freedom from liability for trusting the Client's operations authorized by the Client's Authorization Means. Amendments Mono may unilaterally change this Service Agreement, including the Fees, at any time. These changes will be disclosed at Mono Website and be effective upon such disclosure. Mono may, or may choose not to, notify the Customer of such changes. You should check the Mono Website regularly. The Customer shall not have the right to unilaterally amend the Service Agreement. The Parties may agree on other terms not provided in this Service Agreement.
